The Constitution of ASEAN -China Economy And Trade Promotion Association

ASEAN -China Economy and Trade Promotion Association has been legally registered in Thailand and formally ratified by the Royal Thai Ministry of Commerce on 11th, November, 2010 (11th, November 2553 in the Buddhist calendar). The certificate number is 0109553000559.

Chapter One General Principles

Term One

ASEAN -China Economy And Trade Promotion Association is an non-profit organization which is consisted by ASEAN celebrities in the field of Chinese economy and trade, the enterprisers and the academic members.

Term Three

The design meaning of the logo of ASEATPA

Blue, the key hue stands for the equality and cooperation. ASEAN in light blue combines with China’s map and the pattern surrounded by dragons represented solidarity, harmony and common-win. ASEATPA is guided by information and communication, creating a mutual bridge for information and resource sharing as well as the assistance to service, action and influence, establishing a strategy platform for the cooperation of ASEAN and China in a common-win way.

Term four
The Tenet of ASEAN -China Economy And Trade Promotion Association
According to the law, regulation and policy of ASEAN and China, the opportunity created by the establishment of ASEAN -China free trading is useful for the development, cooperation and communication in economy and trade, advanced technique, social culture and other fields in regions. On the other side, it is helpful for the promotion of the exchange on trade and economic technique for China and Thai. The friendly relationship between ASEAN, including Thai and China will be pushed forward, which is the bridge of economic and trade exchanges between ASEAN and Chinese government and civil.

Chapter two Organization

Term five
The council will be elected by the representative assembly, which enjoys the highest authority. The standing council will be elected by the council. The representative assembly will be held quadrennially with early or later situation when it is necessary with the duty of deliberating the work report, amending the regulation of ACEATPA, organizing the structure of the election. The council will be held aperiodically, being convened by the standing council. The tenure of the council is four-years. After the task changes, the organization members will be recommended by their former organizations and ratified by the council.
The council will organize a conference once in three-years. In general, the standing council will submit the new regulation, the list of the candidates of the new Chairman, Secretary-General and the Vice-Chairman.

The Council of ASEAN-China Economy And Trade Promotion Association set up the positions of a Chairman, a Secretary-General and several Vice-Chairmen. The Chairman and the Secretary-General will be produced in the democratic election of the council. ACEATPA is charged by the Chairman with Secretary-General’s assistance. To manage the daily work and to convene the Council conference are the chairman’s responsibilities as well.

Once the chairman is absent, his authority will be performed by the appointed Secretary-General and the Vice-Chairmen. In the early days, the Founding chairman, Secretary-General can be in office for three terms. From the third conference on, the longest tenure can not be exceed two terms.

The Standing Council (leadership team) is the decision-making and executive

body of ASEAN-China Economy And Trade Promotion Association, which is composed of the seven members in ACEATPA, surely including the chairman and the Secretary-General. The other five members will be nominated by the chairman and approved by the council. The Standing Council holds the conferences twice a year at least to schedule and conclude the annual conference. More than two-third (including the two-third) of the standing directors proposed to amend the regulation of ACEATPA.

In accordance with work requirements, the Glory Chairman, the Honorary Chairman, the Honorary Advisor and the Advisor are established to donate and sponsor voluntarily. One Chairman, several Vice-Chairmen and Advisors of Advisory Board are set, either.

Term Six
While the conference is in the process of resolution, the result will be valid only if the number of the participants achieves more than two-third of the legal personnel in that standard with over two-third approved votes. If it meets only one requirement above, the resolution will be invalid.

Term Seven
A Chairman and several Vice-Chairmen are elected by the Council to compose the Council. The chairman is responsible for convening the entire Council. One General-Secretary and several Vice General-Secretaries are appointed by the Council who are in charge of handling the daily works of ACEATPA. The Council also recommends and engages Glory Chairmen, Honorary Chairmen, Chairmen, Vice-Chairmen and advisors of advisory groups.

Institutional Framework:
The Glory Chairman, the Honorary Chairman, the Chairman and the Vice-Chairman of advisory groups, the Honorary Advisor, the Advisors, the Chairman, the of Vice-Chairman, the assistant of Chairman, the General-Secretary, Vice General-Secretaries and the ministers of sectors of ACEATPA.

Term Eight
According to the requirement of development, more sectors at various levels will be added after the council organizing completed.

  1. Advisory Services Department
  2. Strategic development Department
  3. International Cooperation Department
  4. Department of Chinese merchant fellowship
  5. Organizational and Administrative Department and other departments are divided into many executive sections(for instance, human resource section, financial section, etc are included by the Organizational and Administrative Department). The regulations about the personnel, function, responsibility will be stipulated separately, approved and implemented. The branches will be schemed, registered in ASEAN countries, the major provinces and cities in China.

Term Nine：
The staffs who are incompetent or violate the regulation, the law will be adjusted, dismissed or removed through the democratic procedures by the council which is convened by the Presidium of the Council.

Chapter Three Members

Term Ten
Criteria of application : People who is loyal to ACEATPA, acknowledges and complies with the regulation of ACEATPA as well as meets conditions below and is introduced by the members of the Council, approved by the Council, can become a member.

Individual Members: People who holds a legal status, has an influence in various fields, and is enthusiastic for being a contributor of Trade and Economic Development of the ASEAN - China.

  1. Group Members: people whose legal asset is over two hundreds U.S. dollars, who identities with the aims and objectives of ACEATPA and obeys the regulation of ACEATPA .
  2. Any member who changes his/her name, nationality, address, occupation, legal Representative has to report to the Council by document form in fifteen days.

Term Eleven Members’ Obligation

  1. Members have to comply with the regulations and resolutions of ACEATPA, to perform the tasks delegated by ACEATPA strictly and loyally and to establish the value of self-discipline, social commitment and gumption.
  2. Members have to keep solidarity, take the overall situation into account as well as maintain the reputation, right and interest of ACEATPA
  3. Honesty and friendship should be built among members. Members should be strict to themselves and broad-minded toward others with the spirit of advancing over time.
  4. Members should study and store abilities to promote the prosperity and the progression of ACEATPA consistently.

Chapter Four Responsibilities

Term Twelve
The responsibility of ASEAN-China Economy And Trade Promotion Association

  1. to develop the ties with ASEAN and China trade enterprises, provide the information about economic and trade, technological transformation, cultural exchanges and other aspects to the relevant enterprises and institutions in the region, introduce the cooperation objects, promote inter-regional foreign trade and exchange of advanced technology field,etc.
  2. to invite, organize and receive the mutual delegation of economic trade, business, economic academia.
  3. to participate in the activities of ASEAN and Chinese economic and trade organizations;
  4. to establish the friendly exchanges and cooperation with the corresponding institutions of ASEAN countries and China actively, co-organize and participate in the international activities to promote economy and trade.

Chapter five members of the council

Term thirteen
The right and responsibility of members of the council:

  1. People, entrepreneurs, economists who engages in the economy and trade in ASEAN and China can enroll in the ASEAN - China Economic and Trade Promotion Association Council. Council membership application form must be filled and membership dues should be paid when you enroll.
  2. The council has the right to vote, elect and be elected.
  3. On behalf of the Council, members can develop social activities and do business. When members do business, they should get the “application form of special project” from the Secretariat and submit and record it to the Secretary-General and the Chairman for their signature after they finish filling it clearly.
  4. Members should comply with the rules and regulations and pay the membership dues. The rules are set up and published by the Council. Honorary Chairman, Glory Chairman, Honorary Adviser, Honorary President, Vice-Chairman of the Advisory Council are on the principle of voluntary contributions,
  5. They should participate in the conference activities actively, make recommendations and provide supervision on economic and trade work and offer support and commitment to the work that the Economic and Trade Conference commissioned.

Chapter Six Financial

Term Fourteen
ASEAN - China Economic and Trade Promotion Association's source of funding, purpose and financial system:

  1. Payment of membership fee;
  2. Donated sponsorship from enterprises, societies, associations and celebrities;
  3. Membership fee is limited for office expenses, office equipment maintenance fees, conference fees and the costs of organizing activities;
  4. Financial implementation of separate principle for accounting and teller, provide clear financial disclosure report annually for all directors.
  5. Each corporate sponsorship and individual donations should be arranged in the order of time and amount and should be immediately released on the website of the Association of Promotion.
  6. The Association for the Promotion Council is built upon the democratic financial management system and annual financial reporting system. Financial management in accordance with the relevant regulations, and report the financial situation to the Council and the Members regularly, and perform the audit under the Council annually with the total audit per season.
  7. The expenditure procedure made by Association for the Promotion can only be processed and disbursed if signed by the President and the executive Vice President of the Financial Commissioner. Large amounts of such expenses must be reported to the Council and decide by voting.
  8. The funds, assets and real estate of Promotion Association are subjected under the legal protection of Kingdom of Thailand, no unit or individual may seize, misappropriation and randomly reallocate the investment and enterprises of the Association for the Promotion, the meaning of the cause of assets affiliation are not allowed to be changed.

Chapter fifteen Supplementary

Term Fifteen
After the submission of this regulation to ASEAN - China Economic and Trade Promotion Association Council has approved and has given the the Association for the Promotion Council the right to interpret.
